I'm in the u.s. but have been dipping into Australian stocks using foreign ordinaries on the u.s. side because there seems to be more value overseas. I've found a few posts on here about 5 months ago about points bet, but I need to bring up what is going on in the u.s. now. We've finally decided to stop protecting people from themselves and legalized gambling so states are slowly bringing gambling online. Each state is bringing it on according to their own rules and they are all different and chaotic (naturally). In the u.s. most states are allowing casino operators to operate a limited number of "skins". These are rights to operate an online sports book casino and poker room. Casinos own the skins and decide what software they will use on each of these skins. In Michigan we decided to have a single skin for all these gaming types. That means that each casino can only have one sports book, casino and poker room. The fact that one of them chose points bet is actually pretty big. They also have market share in other states that have legalized gambling (5 others right now). They have positive net gaming revenue, which doesn't sound significant, but with heavy promotions going on right now things are pretty tight for the operators. For example there's a Canadian based online sports book here in the u.s. (score media) that delivered negative net gaming revenue for the year in similar markets as points bet and is still commanding a ~1.3b usd valuation (although they have some potential upside in Canadian single game sports betting being legalized). All that said: here's a few big points why the stock is going higher. Right now all these gaming stocks in the u.s. are blowing up as people finally start to realize that there's going to be huge opportunity here as all these states bring gaming online. Points bet owns their own code and has a unique feature which differentiates itself from other books. I think this has gotten the attention of casino operators and how some australian company no one here has heard of got a skin in the single skin Michigan market. They have a deal with nbc which will almost guarantee their adoption in other u.s. states as the network will promote their book to a national audience. They will bring an online casino to Michigan later this year to compliment the sports book. It's already in new jersey and I imagine will come to other states soon. If this thing was trading in the u.s. market at a more significant clip than 10,000 shares a day I think the valuation would be much more significant. I know in my heart gambling has done nothing but rip me to shreds mentally and ruin a good chunk of my life, but some how quitting has a stronger feeling than losing a long term friend or disappointing a loved one. Between 19-22 I have lost over $240,000 and counting. My entire life I have been stingy about cash and never spent a nickel on anything for myself, until I found gambling. Prior to gambling I was a happy, self made 19 year old working from home as a live streamer with a large platform I built for myself making more money than 90% of people my age with a hefty savings to show for it, had a girlfriend that I loved to death and wanted to make a real life with. Deposited $50 and turned it into $200, loved the feeling. Lost a deposit or two not long after, then the worst thing that has ever happened in my life occurred. No words and actions could describe the shame and guilt I felt when I looked to my right. Not even an hour before that I could have stopped and woke her up to the news that I made $30,000 and it would’ve made a massive change in our life. Instead I blew it and was too ashamed to tell her or anyone for that matter. But now something clicked in my head and my brain said “you can win that again, you just need to deposit and take your time”. this mindset turned to a boiling rage, soon my deposits went from $50 to $200, to $500. Until my (joint)bank account was dry. I had gone completely broke at age 21 after being one of the most on track kids I knew at 19. The shame and anger I still feel now is like being forced to do a naked halftime show at the super bowl. After losing all the money I became enthralled in making more money so I could play. I slowly started to lose interest in everything around me that wasn’t gambling. Starting with my job (which I fucking loved and was so blessed to have) then my hobbies (lost interest in anything that costs money since that would be taking away my ability to gamble said money) and finally my love life. My girlfriend would invite me to do things and I’d blow it off so I could stay home and blow all my money or drive to the casino with my entire weeks pay to blow it at the tables and drive home furious to the only thing (which I didn’t see at the time) that mattered or cared about me, my girlfriend. Seeing the disappointment in her eyes as I blew everything we had and eagerly waited for the next sum of money to come from a paycheck or selling something I didn’t use anymore was the worst of it. The only person who ever truly cared for me and loved me, and instead of seeing that I was blinded in the fog of rushing to the atm to slip in my debit card like a junkie stabbing a needle in their arm. I am disgusted at the sheer thought of what my life could’ve been if I had never deposited that initial $50, but it’s something I now have to live with. And if I ever want to have a different version of a happy life aside from the one I missed this gambling shit has to stop. 4 months ago that same girlfriend left me (much later than she should have) and it crushed me more than a big loss at the casino ever could. The hardest part in my head to this day is I never got to find closure in my guilt or shame, and to my actions I don’t deserve it. Last month I didn’t have enough money in my account to pay for my dentist appointment up front so I lied to the receptionist about calling my bank, stood in the lobby and deposited the $25 I had into pokerstars, ripped it into $100 and withdrew to pay for my appointment. How sick and pathetic is that? What the fuck is screwed wrong in my brain and how do I change it? So let me give you my take as a consumer that’s probably spent over $100,000 in transaction fees personally on Paysafe. This was one of the cheapest and fastest ways to move money around online. Unlike Stripe this which is against risky business such as CBD and gambling, paysafe is actually one of the leading payment providers in both UK/AUS / Ireland for iGaming. Big example is William Hill, Bet365, Bwin. Now why would you want to move money online around as a gambler ? Well, Visa/MC charge close to 50%->75% more, online casinos = the merchant. I think this is highly worth a play on the online gambling hype if you can get in at near NAV, based entirely on the management which is unbeatable in its knowledge of the gambling industry

($42bn one of biggest casino groups in world), IGT (£3.72bn multinational gambling firm specialised in software and slot machines) and Playtech (£1.4bn multinational gambling software firm) Before starting his own fund in 2013 he was regularly ranked Wall Street's top analyst on the gambling and leisure sector His fund, Spring Owl Capital, is a small activist fund focused on gambling and leisure. They are probably most famous for ousting the CEO of Viacom in 2016 and a crusade against Yahoo CEO Marissa Meyer in 2015. Ader knows the gambling - and online gambling - industry inside out. He drove bWin to a £1.1bn takeover by gambling giant GVC (now Entain) in 2016, and has been driving similar change and demands for improvement at board level at Playtech The fund mostly manages money for a select group of wealthy families, which could be a positive sign for the SPAC (although I don't know how much skin in the SPAC the fund has, if any) Here is a video of Ader from November talking about how he's excited about SPACs. Regarded as a "legend" and "hall of famer" in this niche. Greg Lyss This is a very interesting but extremely low profile person. He was Bill Ackman a.k.a SPACman's right hand man at Gotham Capital. Ackman respected him so much that when Ackman set up a personal hedge fund to invest the Ackman family's money, he put Lyss in charge of it. To repeat - Bill Ackman thinks this guy is such a good investor and trustworthy that he put him in charge of investing his family's money. Don't know anything more about him, but I like this association with Ackman, which suggests to me some integrity around management of this SPAC, especially as the gambling world can be very murky. The other member of the team is the CFO of SpringOwl with 20+ years' hedge fund experience and not notable (although clearly competent)
Thesis / potential targets Based on the above experience and many public comments by Ader over the past year, I would be very surprised if ADER is not looking to merge with an online gambling technology provider / existing online betting website / social casino app / possibly a supporting technology provider They are activist inventors, and specifically say in the IPO prospectus that they could look for businesses that can benefit from turnaround or are not being run well. I speculate that their deep knowledge of the European / global online gambling industry means they have a target in mind that they think would benefit from their expertise and US liberalisation of gambling legislation.
1) Ader believes the listing of UK-listed gambling companies in US is immediately big in terms of market cap because of the premium on online gambling stocks in US. He has pitched DraftKings to takeover Playtech and called on Playtech to spin off non-core business. This makes me wonder if he would spin off some element of Playtech to list in US to cash in on gambling hype. This might be Finalto.com / TradeTech which is an online financial platform owned by Playtech. Playtech has been trying to sell this for 200 - 240m since August so it fits. This company provides liquidity and trading to brokerages and runs markets.com a trading site. I wouldn't be that excited although apparently the business has been booming during COVID and there could be a decent pop just on fintech hype.
2) This could be a 'picks and shovel' type data/B2B betting software play a la DMYD, or something like e.g. Israel based CRM software Optimove which works with some of biggest online gambling cos and has links to Ashkenazi. This would be interesting but probably not a huge pop
3) Possibly - given Ader's links to Sands - an online gambling tie-up with one of the big Vegas casinos who are desperate to get into the online betting space (see MGM's attempt to buy Entain for $8bn last week). Interestingly, Sands' owner Sheldon Adelson, previously a major opponent of online betting, has just died. Ader predicted a few months ago that Sands would be moving in this direction.
“There’s no stopping online gaming,” Ader said [before Adelson's death]. “(Las Vegas Sands’) initiatives to stop online gaming, at this stage, are largely historic. There hasn’t been a lot of spending recently to do that, especially post-pandemic.” “I think the company will see the value created by DraftKings and FanDuel and Penn (National) Gaming and others. 4) Ader is very confident that Macau will legalise online gambling in next year or two. Sands is big in Macau, the biggest gambling market in the world. A SaaS-type product positioned to capitalise on Asian gambling would be MASSIVE - at present however, China's attitude to gambling and local regulations mean this is unlikely
5) I also wonder if they might try to take legitimate one of the offshore bookmakers with big customer databases and brand recognition but which have been grey-area/illegal under US gaming legislation. For example, Five Dimes recently announced a settlement with the FBI to attempt to transition into newly legalised US markets. This might have the most hype potential
Potential upside This is entirely a play on management experience and the meme factor / hype around online gambling in the US. I think if they pick a good target - which given their experience and connections seems likely - and get the right publicity and attention from retail investors looking for the next DKNG this could easily 3x and maybe 5-6x if on DKNG-type hype levels. There is currently little spotlight on this and it is a good time to get in at NAV
Potential Downside
Ader has been vocal that he thinks US online betting is overvalued and in a bubble - why is he starting his own SPAC in the space then? Does he just want to cash in while the hype is at all-time high or does he have a legitimate business goal?
If he just wants to dump a part of Playtech which he does not like onto retail investors, this is a bad deal.
Other targets could be e.g. hotel industry or other leisure sector which would be zero sexiness to retail. Given Ashkenazi and Kaminkow's background this seems unlikely though
Usual SPAC caveats apply about potential difficulty finding a target, locking up your money for unspecified period of time, and the fact I may have completely misread the potential and my above thesis might be totally wrong
